Terms of Use

1. Acceptance of Terms

These Terms of Use ("Terms") govern your access to and use of the InTouch platform, including the meeting preparation service, Referral Circle application, and related onboarding, profile, and matching workflows (collectively, the "Service"), operated by InTouch ("InTouch", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy.

InTouch is currently operated by [Founder Name] pending company formation.

2. Eligibility

You must be at least 16 years of age and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent that you meet these requirements.

3. Account Registration and Google Authentication

The Service uses Google account authentication. By connecting your Google account, you authorize InTouch to access:

  1. Google Profile Information — your name, email address, and profile picture, used for account identity and communications.
  2. Google Calendar (read-only) — used to identify upcoming meetings and support calendar-connected features where applicable.

You can revoke these permissions at any time through your Google account settings. Revoking access will limit or disable certain Service features.

You are responsible for maintaining the confidentiality of your account and for all activity performed through your authenticated session. Notify us promptly at support@intouch123.com if you suspect unauthorized access.

4. Service Description

InTouch offers two connected services:

4.1 Meeting Preparation

A sales productivity tool that reads your Google Calendar in read-only mode, researches meeting attendees using publicly available professional data, generates preparation summaries, and delivers pre-meeting email briefings.

4.2 Referral Circles

A professional referral network that enables independent operators, consultants, and fractional executives to apply for membership in curated referral circles. The onboarding flow may include:

  1. A multi-step application experience.
  2. AI-assisted drafting for selected application fields.
  3. A pre-filled review flow where part of your application is prepared from materials you provided or entered by an authorized InTouch operator.
  4. A final review and submission step before anything is shared or published.

5. Google API Permissions

InTouch accesses the following Google data:

Our use of Google API data complies with the Google API Services User Data Policy, including the Limited Use requirements. We do not use Google data for advertising purposes or share it with third parties except as described in our Privacy Policy.

6. Pre-Filled Applications

6.1 Prefill Sources

A pre-filled Referral Circle application may be generated from:

  1. Materials you provided directly (LinkedIn profile, website, one-pager, case studies, testimonials, ICP description).
  2. Data entered by an authorized InTouch operator on your behalf.
  3. AI-generated drafts based on the materials above.

6.2 Field Statuses

In pre-filled mode, fields are tagged as:

  • needs_input — insufficient data; you must provide a value.
  • needs_review — a draft exists requiring your confirmation or correction.
  • confirmed — acceptable as entered, subject to your final review.

6.3 Your Review Obligation

Even where fields are marked confirmed, you remain fully responsible for reviewing your complete application before final submission. Submission constitutes your representation that the information is accurate, not misleading, and that you are authorized to provide it.

6.4 Submission Gating

The product may prevent final submission while unresolved required items remain open.

7. AI-Assisted Drafting

The Service may provide AI-generated suggestions for selected application fields. You acknowledge that:

  1. AI output may be incomplete, incorrect, or unsuitable for your specific context.
  2. AI output is provided for drafting convenience only and does not constitute professional advice.
  3. You must review and edit AI output before relying on or submitting it.

8. Application Data and Submission Responsibility

You are responsible for all content submitted through the Service, including content initially drafted by AI or pre-filled by an authorized operator. When you submit an application, you represent that to the best of your knowledge:

  1. The information is accurate and not misleading.
  2. You have authority to share the information provided.
  3. Any third-party personal data included (e.g., referral contacts, colleagues) is provided lawfully.

9. Third-Party Data

9.1 Meeting Attendee Data

Information about meeting attendees is sourced from publicly available data and may not be accurate, complete, or current. We recommend independent verification of critical information.

9.2 Referral Contact Data

If you provide details about third parties in your application (trusted peers, referral contacts, colleagues), you represent that you have a lawful basis to share that information and that doing so does not violate applicable law or any contractual obligations.

10. Communications

By using the Service, you consent to receive communications from InTouch including:

  1. Email — meeting preparation summaries, application updates, and service notifications to your registered email address.
  2. WhatsApp — onboarding guidance, application status messages, and follow-ups to the mobile number you provide, where applicable.

You may opt out of non-essential communications by contacting support@intouch123.com or revoking consent via account settings. Opting out of essential service communications may limit your ability to use the Service.

11. Referral Matching and No Guaranteed Outcome

Submission of a Referral Circle application does not guarantee:

  1. Acceptance into a referral circle.
  2. Any minimum number of referrals or introductions.
  3. Any business outcome, revenue outcome, or match timeline.

InTouch retains full discretion over application review, acceptance, and matching decisions.

12. Fees and Commercial Terms

Unless separately agreed in writing, onboarding and application submission do not by themselves create a paid engagement. If paid features, memberships, or services are offered, separate commercial terms will apply and will be presented for your explicit acceptance.

13. Acceptable Use

You agree not to:

  1. Submit false, deceptive, or fraudulent information.
  2. Attempt to access accounts, applications, or administrative tooling without authorization.
  3. Use the Service to violate any law, regulation, or third-party rights.
  4. Interfere with service integrity, availability, or security controls.
  5. Use automated tools to scrape or extract data from the Service without permission.
  6. Resell or redistribute the Service without written authorization.

14. Security and Administrative Controls

Access to administrative tooling — including prefill upload, testing capabilities, and impersonation features — is restricted to authorized users under environment-level controls. Unauthorized use of such tooling is prohibited.

15. Intellectual Property

The Service, including its workflows, interfaces, AI systems, and underlying software, is owned by InTouch or its licensors and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. No rights are granted to copy, distribute, modify, or reverse engineer any part of the Service.

16. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. INTOUCH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF THIRD-PARTY DATA.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTOUCH WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES. INTOUCH'S TOTAL LIABILITY FOR ANY CLAIM ARISING FROM USE OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.

18. Indemnification

You agree to indemnify and hold harmless InTouch and its affiliates, officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from: (1) your use of the Service; (2) your submitted content; or (3) your violation of these Terms or applicable law.

19. Suspension and Termination

We may suspend or terminate your access where we reasonably believe there is a violation of these Terms, a security risk, or fraudulent, abusive, or unlawful behavior. You may disconnect by revoking Google permissions and requesting account deletion per our Privacy Policy.

20. Changes to These Terms

We may update these Terms from time to time. We will notify you via email or website notice before changes take effect. Continued use after an update becomes effective constitutes acceptance of the revised Terms.

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. [Dispute resolution mechanism — arbitration / jurisdiction — to be finalized by counsel before publication.]
